4.Licensing Requirements

Applicants must submit corporate documentation, ownership structure details, Ultimate Beneficial Owner (UBO) disclosures, AML/CFT policies, source-of-funds information, business and operational details, and compliance documentation. The CGA performs fit-and-proper assessments on shareholders, directors, UBOs, and key persons.

5.License Costs

The official CGA fee schedule includes application fees, annual license fees, certificate fees, domain fees, and UBO review fees. Official CGA schedules state that all fees are non-refundable and subject to amendment by the regulator.

6.Taxation

The official CGA licensing materials do not establish a separate gaming tax regime. Tax treatment is governed separately under Curaçao tax legislation and should be independently verified with qualified tax advisors.

7.Time to License

The official licensing process operates in two review phases. CGA guidance states that each phase targets approximately 8 weeks and may be extended depending on the complexity of the application and regulatory review process.

8.Compliance Obligations

Licensees are subject to ongoing AML/CFT obligations, ownership transparency requirements, operational compliance obligations, certification requirements, and regulatory approval requirements for certain corporate or operational changes.

9.Company Formation Process

The licensing process generally includes company incorporation, preparation of corporate and ownership documentation, submission of licensing materials to the CGA, regulatory review, licensing approval, and issuance of operational certificates where applicable.
